Vadly Terms of Use
Version of 30.10.2026
These Terms of Use set out how the Vadly platform (vadly.app) may be used, what we provide and what we are responsible for. By registering, or by accepting the terms during sign-up, you confirm that you have read and accepted them.
1. Who provides the platform
The Vadly platform is provided and developed by SIA NEXET, reģ. Nr. 40203795002, Gulbju iela 67, Jūrmala, LV-2008, Latvija (“Vadly”). Contact: info@vadly.app.
The Terms apply together with the Privacy and Cookie Policy: read as a pair they describe the relationship between a user and Vadly.
2. What the platform does
Vadly brings small-business management tools into one dashboard and brings clients to the business:
- a business profile with description, addresses, services and prices, opening hours, photos and team details;
- online client bookings — into the business's free time slots or through a project request;
- booking without an account via the business's short link;
- management of clients, bookings, services, staff and schedules;
- notifications about bookings and events by email and inside the dashboard;
- uploading client, service and past-visit data from a file and exporting data out of the platform;
- analytics on bookings and clients for the business;
- review (moderation) of new business profiles before they are published.
The platform does not take payments from clients and does not transfer money between a client and a business. The parties settle for the service themselves.
3. Who provides the service
The service is provided by the business you book with. Vadly provides the technical environment for finding, booking and managing, and is not the executor, seller or agent of the business.
A booking between a client and a business is their own contract. Vadly is not responsible for the quality, timing or safety of the service delivered, or for a business's actions outside the platform.
4. Registration and your account
- registration is available from age 16; the details you give must be true and current;
- one person or organisation does not create several accounts to work around the rules or limits;
- you are responsible for keeping your password safe and for every action taken in your account;
- your role (client or business) decides which sections are available; permissions are checked on the server;
- if your account access may have reached someone else, write to info@vadly.app immediately.
5. Businesses on Vadly
- publish accurate information about services, prices, addresses, opening hours and availability, and update the profile when things change;
- a profile is reviewed before publishing; Vadly may refuse to publish it or unpublish it if the information is untrue or the rules are broken;
- the business is responsible for its activity being permitted and registered as Latvian law requires (including taxes and licences);
- the business confirms it has the right to publish the photos, texts and logos it uses;
- the business processes client data as an independent controller and informs clients about its own privacy policy;
- cancellations and rescheduled bookings are recorded by the business in the dashboard; the client is notified.
6. Clients on Vadly
- book a real time slot for yourself; do not create bookings in someone else's name without their consent;
- if you cannot come, cancel in advance — the cancellation rules are set by the business;
- do not use someone else's account and do not hand your login details to other people;
- booking without an account through the business's link follows the same terms.
7. Bookings, cancellations and no-shows
A booking confirmation is sent by email; a booking counts as completed once its time has passed and its status changed to “completed”.
Late arrival, no-shows and cancellations follow the business's rules. Vadly does not hold payments or compensate either party's losses, but helps you get in touch and keeps the booking history.
8. Content and rights
Texts, photos, logos and descriptions a business publishes in its profile stay its property. By publishing them the business grants Vadly the right to display them in the service, the catalogue, emails and materials about the platform.
The software code, design and the name Vadly belong to the operator. They may not be copied, modified or used without written permission.
9. Reviews and ratings
- a review can be left after a completed booking with that business;
- a review must be about a real visit and must not contain insults, threats, discrimination or other people's personal data;
- Vadly may remove a review that breaks the rules and restrict access to the feature in case of repeated breaches.
10. What is not allowed
- creating bookings with no intention to come, holding time slots “just in case” and blocking the schedule;
- uploading malicious code or trying to bypass limits, restrictions and role permissions;
- collecting other users' data automatically (scraping), including for marketing;
- impersonating another person or organisation, or publishing fake reviews;
- publishing unlawful content or material that infringes other people's rights;
- reselling the platform's capabilities in your own name without an agreement with the operator.
11. Price
The service is free for businesses until 31 December 2026. We will announce paid plans in advance, and these Terms stay in force until then. Clients pay nothing for searching and booking.
12. Limitation of liability
The service is provided “as is”. Vadly does not promise a certain number of clients, revenue or a position in search results, although we do work on bringing clients to businesses.
Vadly is not liable for indirect losses or lost profit, for the consequences of a user's own actions, or for failures caused by circumstances beyond the operator's reasonable control.
Vadly does not replace the business's accounting, legal or tax services.
13. Suspension and termination
If the rules are broken, Vadly may warn, restrict individual features, unpublish a profile, block an account or delete it. Where possible we notify a block by email.
A user may delete their account at any time; we recommend exporting your data first.
After deletion, data is handled in line with the Privacy and Cookie Policy.
14. Changes to these terms
A new version is published on this page with its version date. For material changes we notify by email or in the dashboard; continuing to use the service after a change takes effect means you accept it.
15. Applicable law and disputes
Latvian law applies between a user and Vadly. First try to settle the matter in writing at info@vadly.app — we reply within 14 days.
If the matter stays unresolved, a competent court in Latvia decides the dispute. This does not limit consumer rights provided by law.
